Visa Inc. has agreed to pay $2 billion for electronic payment and risk management services provider CyberSource Corp.

Using cash on hand, Visa will pay $26 a share, a 33.7% premium to CyberSource's $19.44 closing price yesterday.

CyberSource plays a role in processing nearly 25% of all e-commerce dollars transacted in the United States, says Visa. The company serves more than 295,000 merchants, including The Home Depot, Google and British Airways, through its CyberSource fraud-prevention services and its Authorize.Net payments gateway, which funnels transaction data from e-retailers to payment networks.

However, CyberSource’s international business only represented 8% of its total revenue in its 2009 fiscal year. “Visa plans to build on CyberSource's existing momentum in key geographies such as Asia Pacific and Latin America,” according to a spokesman.

Expanding CyberSource’s international reach is essential to justify the premium Visa paid for CyberSource, says Andrew Jeffrey, SunTrust Robinson Humphrey analyst.

It is with great sadness that “Noise” Donahoe (aka “Peter Principle”), eBay’s Chief Headless Turkey, announces the probable imminent demise of eBay’s most ugly daughter, PayPal. It is probable that PayPal is about to be stricken by a particularly virulent strain of Visa+CyberSource, accompanied by insurmountable financial institutions complications and merchant dissatisfaction. PayPal’s health may therefore be expected to deteriorate and, if ultimately not completely incapacitated, will most likely be eventually confined to what little there is by then left of the Donahoe-devastated eBay Marketplaces. There is no cure this condition, and the “eBafia Don” is particularly saddened by the inevitable presumption that it is unlikely that PayPal will be able to continue to underpin eBay’s bottom line in the future.
